The theory is, is that all information relied upon in trading public listed companies is in the public domain. Therefore publicly listed companies have very high reporting standards, to try and ensure that the information relied upon by the market is numerous and high quality. It is the theory that if there is "perfect" information in that all participants are fully informed then the market is efficient.

Imperfect information, which includes "insider information" represents market inefficiency from which an individual can profit. Therefore from a market efficiency perspective, insider information is bad.
