I'd go with the E39. Non-M E46's really aren't that exciting and have more electrical complexity to go wrong. If you can find a manual E39, in the US at least, you'll have something pretty unique and good to drive.

I have an E46 323i and I quite like it, but I do often wish I had more power. If you can afford it, I wouldn't go for either of these, try to get the bigger engine (330i or 540i). If these two are your only option, the decision comes down to whether you prefer a smaller better cornering car or a bigger comfier one.

M3s are actually a little under powered in their class. It's the clever rear differential that really makes it handle like a race car. Swap that in too.

I have a 530i sport and even in manual, I'd wished for a 540i

It’s much heavier, has worse balance and costs way, way more to maintain than a 530i. The idea is what you want, not the reality. In reality an M5 is what you want because it’s all the pain of a 540i but 10 times the fun.

Neither a w211 is miles better

w211 has ungodly body roll and the sound insulation could be better and the steering could be lighter for a luxury car
