They're not inherently illegal. they're illegal because they're not registered securities, and the people that buy them do not qualify to buy unregistered securities
the SEC thinks that all securities should be registered with them. Any security that is not registered with them, "must" qualify for an exception via Reg D, including rule 504, 505, 506b and 606c. Problem is, buyers of unregistered securities must be accredited investors. none of you pajeets are.
